Atlassian App End User License Agreement

The App is a thin Atlassian Forge UI Kit listing. It displays informational pages and links inside Confluence Cloud and helps users discover the Climakers acp2md (single-page) and acs2md (full-space) command-line tools.

The App does not perform conversion, processing, transmission, or storage of Confluence content. Conversion runs exclusively on customer-controlled infrastructure via the CLI tools.

Subject to your compliance with this EULA, Climakers grants you a worldwide, non-exclusive, non-transferable, non-sublicensable, royalty-free license to install and use the App on Atlassian Confluence Cloud sites that you administer or are authorised to administer, for the duration of the App’s availability on the Atlassian Marketplace.

The App is free of charge on the Atlassian Marketplace. Paid features of the underlying CLI tools are licensed separately at store.climakers.com.

You agree that you will not: (1) modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works of the App, except to the extent that applicable law expressly permits such activity; (2) remove, alter, or obscure any proprietary notices, branding, or attribution contained in the App; (3) use the App to violate the Atlassian Marketplace Partner Agreement, the Atlassian Cloud Customer Agreement, or any law or regulation applicable to you or your use of Confluence; (4) attempt to use the App to gain unauthorised access to any Atlassian, third party, or Climakers system; or (5) resell, redistribute, sublicense, lease, rent, or otherwise commercially exploit the App as a stand-alone offering.

All right, title, and interest in and to the App — including all code, designs, text, logos, and other content provided by Climakers — remain the property of Climakers and its licensors. No rights are granted to you under this EULA other than the limited license in Section 3.

The "Climakers" name and the ac2md, acp2md, and acs2md wordmarks are trade marks of Climakers. Atlassian, Confluence, Forge, and the Atlassian Marketplace are trade marks of Atlassian Pty Ltd. Use of either party’s marks is governed by that party’s brand guidelines.

The App does not collect, transmit, store, or share personal data or Confluence content. Privacy practices applicable to the App are described in the Climakers privacy policy for the App, available at climakers.com/atlassian-app-privacy.

The App contains links that, when clicked, open third-party or Climakers-operated pages in a new browser tab (including docs.climakers.com, store.climakers.com, and climakers.com).

Climakers is not responsible for the content, availability, or terms of any third-party page reached through such a link, and your use of any such page is governed by the terms applicable to it.

The App runs on the Atlassian Forge platform. Your use of Confluence Cloud and the Forge runtime is subject to Atlassian’s own terms, including the Atlassian Cloud Customer Agreement and Atlassian’s privacy policy.

Climakers has no control over, and accepts no liability for, the availability or behaviour of the underlying Atlassian platform.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. CLIMAKERS DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply to the maximum extent permitted by applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLIMAKERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE APP, EVEN IF CLIMAKERS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL AGGREGATE LIABILITY OF CLIMAKERS ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR YOUR USE OF THE APP WILL NOT EXCEED FIFTY US DOLLARS (US $50.00). YOU ACKNOWLEDGE THAT THIS LIMITATION IS REASONABLE GIVEN THAT THE APP IS PROVIDED FREE OF CHARGE.

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Climakers and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable lawyers’ fees) arising out of or in connection with your breach of this EULA or your unlawful or unauthorised use of the App.

This EULA is effective on the date you first install or use the App and continues until terminated.

You may terminate this EULA at any time by uninstalling the App from all Atlassian Confluence Cloud sites on which you have installed it.

Climakers may terminate this EULA, suspend, or remove the App if (a) you materially breach this EULA, (b) the App is removed from the Atlassian Marketplace, or (c) Atlassian discontinues the Forge platform. On termination, the license in Section 3 ends and you must uninstall the App.

Sections 4, 5, 9, 10, 11, 13, and 15 survive termination.

This EULA is governed by, and construed in accordance with, the laws of the Kingdom of Spain, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of the city of Climakers’ registered office in Spain have exclusive jurisdiction to settle any dispute arising out of or in connection with this EULA, except that Climakers may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.

If you are a consumer resident in the European Union, this Section 13 does not deprive you of the protection afforded to you by mandatory provisions of the law of your country of residence, and you may also bring proceedings in the courts of that country.

Climakers may update this EULA from time to time. We will update the "Last updated" date above and, for material changes, post the updated EULA at the URL referenced from the App’s Atlassian Marketplace listing.

Your continued use of the App after a material update constitutes acceptance of the updated EULA. If you do not agree with an update, you must uninstall the App.

Entire agreement. This EULA, together with the Climakers privacy policy referenced in Section 6, is the entire agreement between you and Climakers regarding the App and supersedes any prior agreements regarding the App.

Severability. If any provision of this EULA is held invalid or unenforceable, the remaining provisions remain in full force and effect.

No waiver. A failure or delay by Climakers to enforce any provision of this EULA is not a waiver of that provision.

Assignment. You may not assign this EULA without Climakers’ prior written consent. Climakers may assign this EULA in connection with a merger, acquisition, or sale of all or substantially all of its assets.
